Affiliate Agreement
By becoming a VÄXA affiliate, you agree to the
terms set forth by the VÄXA Affiliate program.
The following terms, conditions, and restrictions apply:
1. Content & Compliance
For each site developed, the content must be unique.
The reusing of content, page titles, and page descriptions from Vaxa.com or
from another VÄXA affiliate is strictly prohibited. Before the launching of the affiliate site,
the content must be reviewed by the VÄXA corporate office. VÄXA
may make recommendations or require the removal of certain statements or claims
made in the content, but in no way does this insure the content you are using
is compliant. Vaxa.com should never be placed in a frame set of any kind.
You will be solely responsible for the development,
operation, and maintenance of your site and for all materials that appear
on your site. You are responsible for the technical operation of your site
and all related equipment, the accuracy and appropriateness of materials posted
on your site, ensuring that materials posted on your site do not violate or
infringe upon the rights of any third party (including, for example, copyrights,
trademarks, privacy or other personal or proprietary rights), and for ensuring
that materials posted on your site are not libelous or otherwise illegal.
We disclaim all liability for these matters. Further, you hereby indemnify
and hold VÄXA harmless from all claims, damages, and expenses (including,
without limitation, attorneys' fees) relating to the development, operation,
maintenance, and contents of your site.
VÄXA does grant you limited, non-exclusive, revocable
rights to use the VÄXA logo, product pictures
and any related product images. We do not give permission to use any of the
graphics on Vaxa.com without prior written consent. We may revoke your license
at any time, by written notice to you.
2. Retail Pricing & Wholesale Cost
VÄXA agrees to give a discount of 40% off the
suggested retail prices posted on vaxa.com. Retail prices are subject to change
without prior written notice. Affiliates
are allowed to discount the product on their own web sites a maximum of 10%
off of the posted prices on vaxa.com. In the event an affiliate sends their
customers directly to vaxa.com to order, a 40% commission on the posted retail
prices will be paid on the 15th of the following month, excluding
shipping.
* Excluded are the vaxa basics line and 100 count test strips.
3. Relationships of Parties
You are independent an contractor and nothing in this
Agreement will create any partnership, joint venture, agency, franchise, sales
representative, or employment relationship between the parties. You will have
no authority to make or accept any offers or representations on our behalf.
You will not make any statement, whether on your site or otherwise, that reasonably
would contradict anything in this section.
4. Prohibited Marketing Practices
VÄXA encourages webmasters to make
their content straightforward and easily understood by both users and search
engines alike. Unfortunately, not all websites have the users best interests at heart. Trying to deceive (spam) web
crawlers by means of hidden text, cloaking, link farms, Etc, compromises the
quality of search results. In addition to deceiving web crawlers, VÄXA also prohibits the use of email to spam non opt in email addresses. VÄXA
strictly prohibits the pay per click purchase or the specific optimization
of the following keywords with any search engine: Vaxa, Vaxa International.
5. Limitation of Liability
We will not be liable for indirect, special or consequential
damages, or any loss of revenue, profits or data arising in connection with
this Agreement or the program, even if we have been advised of the possibility
of such damages. Further, our aggregate liability arising with respect to
this Agreement and the program will not exceed the total referral fees paid
or payable to you under this Agreement.
6. Acknowledgement
You acknowledge that you have read this agreement and
agree to all its terms and conditions. You have independently evaluated the
desirability of participating in the program and are not relying on any representation,
guarantee or statement other than as set forth in this agreement.
7. Term & Termination of the Agreement
This Agreement shall begin upon your acceptance of the agreement and continue
unless either party gives written notice of intent to terminate. VÄXA,
reserves the right to change program guidelines and agreement terms by notifying
its affiliates. If the affiliate does not agree with such changes, it may
terminate this Agreement by notice to VÄXA and removing the Link from
its site or simply removing VÄXA’s products
to its web site. Vaxa also reserves the right regulate affiliates in order
to maintain a viable program. If affiliate
is in violation of any of the terms in this agreement, VÄXA retains the
right to terminate said affiliate if VÄXA deems necessary. This agreement
is the entire agreement of the parties as regarded in its subject matter and
is governed by the laws of the State of
